The membership of the AxisMarkets.com succeeds because of the quality of its members and one basic rule that everyone adheres to. We reserve the right to deny service to any member or prospective member at any time if they do not play by the rule.

AxisMarkets maintains this Terms of Service ("ToS") to provide users of its Web applications ("You" or "Your") and AxisMarkets' various systems and network (the "Services") with information relating to Your use of our site at www.axismarkets.com or www.axismarket.com (the " AxisMarkets Site").
AxisMarkets may amend this Terms of Service at any time by posting the amended ToS on the AxisMarkets Site. Your continued use of AxisMarkets Services will constitute Your acceptance of any changes or additions to this Terms of Service.

1. Scope and Application of ToS
This ToS forms an integral part of the Merchant User Agreement (as posted on the AxisMarkets Site and amended from time to time). Your compliance with, and cooperation in AxisMarkets' enforcement of, this ToS is an important condition to Your continuing contractual rights to use the Services.
This ToS is not intended to address all possible unacceptable uses of the Services. As a result, AxisMarkets reserves complete discretion to determine what constitutes an unacceptable use of its Services and reserves the right to suspend or terminate Your Services, or take such other action as AxisMarkets deems appropriate in its sole and exclusive discretion.

2. Lawful Purpose
You may use the Services only for lawful purposes. You may not transmit, store or present any information, software, data, file or material in violation of any applicable law or regulation. You may not use the Services to facilitate, or otherwise assist others in, the violation of any law or regulation.

3. Conditions for Membership
For obvious legal reasons, AxisMarkets Site or any affiliated Services may not be used by persons under the age of 18. This same restriction applies to any users suspected or removed from AxisMarkets Site or any affiliated Services. Users are prohibited from transferring or profiting form the transfer of the AxisMarkets Site account to another party. If you do not meet these requirements, you are not eligible to use AxisMarkets Site.

4. Terms of Information Use
AxisMarkets Site is authorized to use any information that is provided by AxisMarkets users or affiliates. All information that a user posts on the AxisMarkets is completely the USER's responsibility. AxisMarkets is not responsible for any misrepresentation of facts or other errors in this content. AxisMarkets strives to ensure the integrity of the information on the AxisMarkets, but cannot guarantee the truthfulness of the information that each user provides through the AxisMarkets. AxisMarkets reserves the right to release any user information or other information if required to do so by law.

5. Use of AxisMarkets.com
Your use of AxisMarkets service must follow the guidelines set forth in this agreement. AxisMarkets may refuse or revoke service or other offerings without prior notice to any user or potential user for any reason. Users must obey all applicable local, national, and international laws associated with the use of the AxisMarkets and any affiliated services.

Users take complete responsibility for all activities that occur under their AxisMarkets account with or without their prior knowledge or consent. 6. Prohibited Activities
You agree that Your activities and any products, services or content published and distributed using the AxisMarkets Services shall not:
• violate the list of Prohibited and Restricted Items Policy that is incorporated herein;
• be false, inaccurate or misleading;
• be fraudulent or involve the sale of counterfeit or stolen items;
• infringe or misappropriates any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
• violate any law, statute, ordinance or regulation (including, but not limited to, those governing privacy, publicity, export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• be defamatory, trade libelous, unlawfully threatening or harassing, or advocating, promoting or providing assistance involving violence, significant risk of death or injury, or other unlawful activities;
• be obscene or contain child pornography;
• contain any viruses, Trojan horses, worms, or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
• involve the transmission of any unsolicited commercial or bulk email (known as "spamming") and You shall not use Your account as a return address for unsolicited commercial mail originating elsewhere or participate in any activities related to so-called pyramid or ponzi schemes;
• involve the collection or attempt to collect personally identifiable information of any person or entity, except with the express written consent of that person or entity and of which consent You shall maintain a written record even after any termination of the Merchant User Agreement;
• be harmful or potentially harmful to the AxisMarkets Server structure as determined in AxisMarkets' sole discretion, including without limitation overloading the AxisMarkets technical infrastructure;
• involve subleasing Your account or offering "free space" on or other access to Your account to third parties;
• create liability for AxisMarkets and its subcontractors or expose them to undue risk or otherwise engage in activities that AxisMarkets, in its sole discretion, determines to be harmful to AxisMarkets' affiliates, operations, reputation, or goodwill ;
• link directly or indirectly to or include descriptions of goods or services that violate any applicable law, statute, ordinance or regulation.



7. Online Privacy
View AxisMarkets Privacy Policy. While AxisMarkets is concerned with the privacy of on-line communications and websites, the Internet is no more secure than other means of communications. You should assume that all on-line communications are insecure. AxisMarkets is not responsible for the security of any information transmitted over its Services. You're best off using the system to make contact with other Members and then continue any confidential information exchange through your own methods.

8. Spamming and Related Activities
AxisMarkets strictly prohibits Your use of AxisMarkets' Services to transmit SPAM or to host a site that is advertised or announced via SPAM. "SPAM" is any form of unsolicited advertisement or informational announcement that is transmitted, whether singularly or in bulk, via any Internet-based communications medium. Activities that violate this ToS may also subject You to civil liability to third parties and to criminal penalties.

9. Permission Based Communications
You may use AxisMarkets' Services to transmit permission-based communications for purposes of marketing Your goods and services, provided that You otherwise comply with the standards set out in this ToS, the AxisMarket Privacy Policy and all applicable laws including, but not limited to, the _____ Act. All marketing conducted using AxisMarket' Services must be permission (opt-in) based. You must keep adequate and verifiable records to prove that Your marketing is strictly permission-based. In addition, should You purchase mailing lists or other types of data that are to be used to contact third parties via AxisMarket' Services, You must verify that the lists have been compiled on a strict "opt-in" basis.
In addition to the above, all permission-based communications sent using AxisMarket' Services must include the following (and You are required to take the corresponding actions set forth below):
• A working "unsubscribe" link. (You must honor all unsubscribe requests within 72 hours from the time they enter AxisMarket' Services.)
• The recipient's accurate e-mail address in the "to" line and the sender's accurate e-mail address in the "from" line.
• A working link to Your privacy policy.
• A working "abuse" address and/or link. (You must answer all complaints forwarded to this address within 72 hours from the time they enter AxisMarket' Services.)
• An up-to-date website that corresponds with the domain portion of the response e-mail. Your eStore must conspicuously display Your up-to-date mailing address, telephone number and facsimile number.
You are solely responsible for the transmission of all such permission-based communications related to Your store and Your use of the AxisMarket Services. AxisMarket reserves the right to suspend or terminate Services to You and Your eStore in the event AxisMarket receives, in its sole and exclusive discretion, an excessive number of complaints related to Your permission-based communications, whether such complaints are made by parties whom "opt-in" or otherwise.

10. Disciplinary Guidelines

AxisMarkets has set in place a listing of disciplinary guidelines for regarding the use of the AxisMarkets or any affiliated services. AxisMarkets may, but is not obligated to, enforce penalties for breaching these guidelines. Foremost, you agree that the AxisMarkets may immediately suspend or terminate your AxisMarkets account and all access to the AxisMarkets and other services without prior notice. The following will lead to the suspension or termination by the AxisMarkets of a user's account 1) Violation of this Terms of Service or the User Agreement within this document 2) Violation of any applicable laws 3) A user's request to have their own profile removed 4) Account inactivity.

Account termination will include, but is NOT limited to the previous items and events listed. AxisMarkets account suspension or termination includes the complete stoppage of all use of the AxisMarkets and any affiliated services. All account suspensions or terminations will be made at AxisMarkets's discretion and without necessarily consulting any other parties. AxisMarkets is not liable for any damages associated with the suspension or termination of a user's account.

The AxisMarkets will not issue any refunds whatsoever to Members who have violated this ToS.

11. Monitoring of Services; Cooperation with Law Enforcement; Legal Documents
You are solely responsible for ensuring that materials send, posted or distributed using AxisMarkets' Services comply with this ToS and all applicable laws and regulations. AxisMarkets does not review, edit, censor or take responsibility for any information You, other customers or Your end users may create.
AxisMarkets may disclose information, including information that You may consider confidential, in order to comply with a court order, subpoena, summons, discovery request, warrant, regulation or governmental request. AxisMarkets assumes no obligation to inform You that such information has been provided and, in some cases, may be prohibited by law from providing You with notice.
On occasion, AxisMarkets may have a need to communicate with You about issues that relate to billing, service changes, additions and modifications to its Services. AxisMarkets may choose the method of such communication in its sole discretion, which may include without limitation email.


12. Extent of Liability
BY ACCEPTING THIS TERMS OF SERVICE AGREEMENT, YOU AGREE THAT AXISMARKETS AND ANY PERSONS OR ENTITIES ASSOCIATED OR AFFILIATED WITH AXISMARKETS ARE NOT RESPONSIBLE FOR ANY DAMAGES TO ANY PARTY AS A RESULT OF USING THE SERVICES PROVIDED OR TRANSACTING BUSINESS WITH AXISMARKETS OR AFFILIATES. AXISMARKETS RESERVES THE RIGHT, BUT IS NOT OBLIGATED, TO SCREEN THE CONTENT THAT IS POSTED ON THE AXISMARKETS FOR ANY ABUSIVE, FALSE, UNRELIABLE OR OTHER UNACCEPTABLE MATERIAL. HOWEVER, WE CANNOT GUARANTEE THAT USERS WILL NOT FIND SUCH MATERIAL ON THIS SITE. WE RELY A GREAT DEAL ON THE AXISMARKETS USER BASE TO HELP PROTECT THE STANDARDS AND INTEGRITY OF THE AXISMARKETS. PLEASE REPORT ANY SUCH OFFENSES TO THE AXISMARKETS SO THAT PROPER ACTION CAN BE TAKEN. WE RESERVE THE RIGHT, BUT ARE NOT OBLIGATED TO, TERMINATE ANY ACCOUNTS THAT ARE IN VIOLATION OF THIS TERMS OF SERVICE AGREEMENT OR ANY OTHER POLICIES THAT OUR COMPANY MAINTAINS. WE HOLD NO RESPONSIBILITY FOR ANY DAMAGES CAUSED FOR ANY REASON TO USERS OF OUR SERVICES OR TO OTHER PARTIES. FURTHERMORE, AXISMARKETS IS NOT RESPONSIBLE FOR MALFUNCTIONING FEATURES OR SERVICES THAT MAY HINDER YOUR USER OF THE AXISMARKETS OR ITS OFFERINGS OR CAUSE DAMAGES TO ANY PARTY. WE WILL DO OUR BEST TO PROVIDE A FULLY FUNCTIONING SERVICE WITH COMPLETE INTEGRITY AT ALL TIMES, BUT THIS CANNOT IN ANY WAY BE GUARANTEED. AXISMARKETS WILL NOT BE HELD RESPONSIBLE FOR THE ACTIONS OF OTHER USERS ON THE AXISMARKETS OR OUTSIDE PARTIES THAT DISRUPT THE NORMAL FUNCTIONING OF THE SERVICE.

13. Contact Information
It is Your responsibility to provide and check the account and contact information, including a required valid e-mail address, that You provide to AxisMarkets during the sign-up process. It is Your responsibility to inform AxisMarkets promptly of any changes to Your account or contact information. AxisMarkets has no responsibility for communications that are misdirected as a result of Your failure to provide AxisMarkets with updated contact information.
